These Terms of Use ("Terms") govern your use of our website located at https://www.theaccountingacademy.com.au ("Site") and form a binding contractual agreement between you, the user of the Site and us, The Accounting Academy (26 669 927 959), The Accounting Academy Services Pty Limited (93 671 788 355) and The Accounting Academy Services Trust (94 358 735 218) (collectively referred to as “The Accounting Academy Pty Limited”).

By using the Site you acknowledge and agree that you have had sufficient chances to read and understand the Terms and you agree to be bound by them. If you do not agree to the Terms, please do not use the Site.

  1. Licence to use Site

    1. We grant you a non-exclusive, worldwide, non-transferable licence to use the Site in accordance with the terms and conditions set out in this Agreement.

    2. You may access and use the Site (including any incidental copying that occurs as part of that use) in the normal manner and may also print one copy of any page within the Site for your own personal, non-commercial use.

    3. You must not add any content to the Site:

      1. unless you hold all necessary rights, licences and consents to do so;

      2. that would cause you or us to breach any law, regulation, rule, code or other legal obligation;

      3. that is or could reasonably be considered to be obscene, inappropriate, defamatory, disparaging, indecent, seditious, offensive, pornographic, threatening, abusive, liable to incite racial hatred, discriminatory, blasphemous, in breach of confidence or in breach of privacy; 

      4. that would bring us, or the Site, into disrepute; or

      5. that infringes the intellectual property or other rights of any person.

    4. The Site contains links to other websites as well as content added by people other than us. We do not endorse, sponsor or approve any such user-generated content or any content available on any linked website. 

    5. You acknowledge and agree that: 

      1. we retain complete editorial control over the Site and may alter, amend or cease the operation of the Site at any time in our sole discretion; and

      2. the Site will not operate on a continuous basis, and may be unavailable from time to time (including for maintenance purposes). 

      3. Your use of the Website and the Services is at your own risk and is provided to you "as is" and "as available" without any warranty or condition of any kind.

  2. Copyright and Intellectual Property

    1. All aspects of the Website, Services, and related products of The Accounting Academy Pty Limited are protected by copyright law, both within Australia and internationally. Unless indicated otherwise, all rights in the Services and compilation of the Website are owned by or licensed to The Accounting Academy Pty Limited or its contributors.

    2. Nothing in these Terms constitutes a transfer of any intellectual property rights. You acknowledge and agree that, as between you and us, we own all intellectual property rights in the Site. 

    3. By posting or adding any content onto the Site, you grant us a perpetual, non-exclusive, royalty-free, irrevocable, worldwide and transferable right and licence to use that content in any way (including, without limitation, by reproducing, changing, and communicating the content to the public) and permit us to authorise any other person to do the same thing.

    4. You consent to any act or omission which would otherwise constitute an infringement of your moral rights, and if you add any content in which any third party has moral rights, you must also ensure that the third party also consents in the same manner.

    5. The licence in clause 2.4 will survive any termination of these Terms.

    6. You represent and warrant to us that you have all necessary rights to grant the licences and consents set out in clauses 2.3 and 2.4.

  3. Warranties

    1. You represent and warrant to us that:

      1. you have the legal capacity to enter these Terms; and

      2. you have complied with clause 1.3.

  4. Limitation of Liability

    1. To the full extent permitted by law, we exclude all liability in respect of loss of data, interruption of business or any consequential or incidental damages.

    2. To the full extent permitted by law, we exclude all representations, warranties or terms (whether express or implied) other than those expressly set out in these Terms.

    3. These Terms are to be read subject to any legislation which prohibits or restricts the exclusion, restriction or modification of any implied warranties, conditions, guarantees or obligations. If such legislation applies, to the extent possible, we limit our liability in respect of any claim to, at our option:

      1. in the case of goods:

        1. the replacement of the goods or the supply of equivalent goods;

        2. the repair of the goods;

        3. the payment of the cost of replacing the goods or of acquiring equivalent goods; or

        4. the payment of having the goods repaired, and

      2. in the case of services:

        1. the supply of the services again; or

        2. A refund equal to the cost of the service(s). 

  5. Termination

    1. These Terms terminate automatically if, for any reason, we cease to operate the Site.

    2. We may otherwise terminate these Terms immediately, on notice to you, if you have breached these Terms in any way. 

  6. General

    1. You must not assign, sublicence or otherwise deal in any other way with any of your rights under these Terms. 

    2. If a provision of these Terms are invalid or unenforceable it is to be read down or severed to the extent necessary without affecting the validity or enforceability of the remaining provisions.

    3. Each party must at its own expense do everything reasonably necessary to give full effect to this Agreement and the events contemplated by it.

    4. This Agreement is governed by the laws of New South Wales and each party submits to the jurisdiction of the courts of New South Wales.

    5. Nothing in the Terms restricts any guarantees, warranties, representations or conditions implied or imposed by law, including the Australian Consumer Law.

    6. Except for obligations that cannot be excluded by law, all guarantees, warranties, representations or conditions not expressly stated in the Terms are excluded, and The Accounting Academy Pty Limited will not be liable for any loss or damage arising out of or in connection with the Services or these Terms.

  7. Responsibilities as a user

    1. As a user, you pledge to adhere to the following:

    2. You will use the Services exclusively for activities allowed by:

      1. The Terms, and 

      2. Any pertinent law, regulation, or universally accepted practices or guidelines in the relevant jurisdictions. 

    3. It is solely your responsibility to safeguard the confidentiality of your password and/or email address. Any unauthorised use of your password may result in the immediate cessation of the Services.

    4. Any utilisation of your registration details by any other individual or third parties is strictly forbidden. You commit to instantly inform The Accounting Academy Pty Limited about any unauthorised use of your password or email or any security breach you're aware of.

    5. Access and usage of the Website are limited, non-transferable, and permits only you to use the Website for the purposes of receiving Services from The Accounting Academy Pty Limited.

    6. You shall not use the Services or the Website for any commercial ventures unless they have been specifically endorsed or approved by the management of The Accounting Academy Pty Limited.

    7. You will not employ the Services or Website for any illegal or unauthorised activities, which includes collecting email addresses of users via electronic or other means to send unsolicited emails or unauthorised framing of or linking to the Website.

    8. You concur that commercial advertisements, affiliate links, and other solicitation types may be removed from the Website without notice, leading to termination of the Services. Legal action will be pursued by The Accounting Academy Pty Limited and any other associated entity for any illegal or unauthorised use of the Website. Automated use of the Website or its Services is strictly prohibited.

  8. Payment

    1. If provided the option, you can remit the Fees via:

      1. Credit Card Payment (Where available: Visa, Mastercard, Afterpay, Zip, Airwallex Pay, Google Pay, Applepay)

      2. Bank Transfer

    2. All payments made during your utilisation of the Services are processed through Stripe, Airwallex and Square. You assure that you have read, understood, and agreed to be bound by the terms and conditions of Stripe, Airwallex and Square is available on their website while using the Website or the Services, or when making any payment related to your use of the Services.

    3. You accept and agree that if a request for the payment of the Fee is returned or declined by your financial institution or remains unpaid by you for any reason, you will bear any related costs, including banking fees and charges associated with the Fee.

    4. You concur and acknowledge that The Accounting Academy Pty Limited and any other associated entity has the authority to alter the Fee at any time. The adjusted Fee will become effective following the end of the current Subscription Period.

  9. Refund Policy

    1. Our company, The Accounting Academy Pty Limited and any other associated entity, will issue you a refund of the Fee only if we are unable to provide the Services or if, in our sole discretion, we determine that a refund is appropriate under the circumstances. Any refund provided will correspond to the unused portion of your Fee. 

    2. Each service has a separate refund policy, outlined in the terms below.

  10. Privacy

    1. Our company takes your privacy seriously. Information provided through the use of the Website and/or Services is subject to our Privacy Policy, which is available on the Website.

  11. Indemnity

    1. You agree to indemnify The Accounting Academy Pty Limited, its affiliates, employees, agents, contributors, third party content providers and licensors from all liabilities, costs, expenses, loss and damage incurred in relation to Your Content, your use of the Website, and any breach of the Terms.

  12. Dispute Resolution

    1. All disputes must be submitted in writing to hello@theaccoutningacademy.com.au as soon as they first arise.

    2. Before initiating any Tribunal or Court proceedings related to a dispute arising from the Terms, parties must first attempt to resolve the dispute through negotiation and mediation in New South Wales, Australia.

  13. Venue and Jurisdiction

    1. In case of any dispute related to the Website, it will be resolved exclusively in the courts of New South Wales, Australia.

  14. Governing Law

    1. The Terms are governed by the laws of New South Wales, Australia. Any dispute arising from the Terms will be governed, interpreted, and construed under these laws.

  15. Independent Legal Advice

    1. Both parties agree that the Terms are fair and reasonable, and both have had the opportunity to seek independent legal advice. The Terms are not against public policy on the grounds of inequality or bargaining power or general grounds of restraint of trade.

  16. Severance

    1. If any part of the Terms is found to be void or unenforceable by a court of competent jurisdiction, that part will be severed and the remaining parts of the Terms will continue in effect.

  17. Terms Agreement

    1. Your presence on the Website signifies your agreement with the Terms. Alternatively, you can also indicate your acceptance by clicking the provided option to approve or agree to the Terms, as facilitated by The Accounting Academy Pty Limited and any other associated entity via the user interface.

  18. Services

    1. To utilise the Services, it is necessary first to acquire a subscription via the Website (herein referred to as 'Subscription') and to pay the requisite fee for your chosen Subscription ('Subscription Fee').

    2. When procuring the Subscription, you recognise and agree that the selection of a suitable Subscription for your usage is your responsibility.

    3. Upon acquiring the Subscription, you will be obligated to establish an account through the Website to access the Services ('Account').

    4. You may be asked to submit personal details about yourself (such as identification or contact information), during the registration process or throughout your ongoing use of the Services, which includes but not limited to:

      1. Email address 

      2. Full name

      3. Address 

      4. Contact number

      5. Tax Information

      6. Chosen username 

      7. Password 

    5. You assure that all the information you provide to The Accounting Academy Pty Limited and any other associated entity while registering will consistently be precise, correct, and current.

    6. Upon completing the registration process, you will become a registered Website user ('user') and agree to the Terms. As a user, you will gain immediate access to the Services from the moment of registration completion until the Subscription Period ends.

    7. You are disallowed from using the Services and accepting the Terms if:

      1. you are not of a legal age to enter into a binding contract with The Accounting Academy Pty Limited and any other associated entity, or

      2. you are prohibited from receiving the Services under the laws of Australia or other countries, including the country where you reside or from which you utilise the Services.

  1. Accounting and Tax Consultations

    1. Booking and Payment: All services under this segment must be booked and confirmed prior to provision. Payment for services must be made in advance, as per the fees detailed on our website or provided via a personalised quote. All payments are made to The Accounting Academy Services Pty Limited (93 671 788 355) tax agent number 26233096 and ASIC agent number 51435.

    2. General Advice: The advice and consultations provided are general in nature. Clients are cautioned that such advice cannot be solely relied upon when submitting tax returns or other statutory documents. For specific advice pertinent to individual circumstances, the client must formally engage our services or consult a registered tax agent or BAS agent.

    3. Refunds: Clients can request a refund 48 hours before the consultation date. Any refund request beyond this period will not be accepted.

    4. Provider: All Accounting and tax related services are provided by The Accounting Academy Services Pty Limited (93 671 788 355) tax agent number 26233096 and ASIC agent number 51435.

  2. Tax and BAS Agent Programs

    1. Compliance with Instructions: Mentees are obligated to strictly follow the instructions of the tax agent throughout the program.

    2. Payment: Payment terms will be as specified on our website or as provided in our personalised quote. Late payments may result in the suspension of services or other penalties.

    3. Lodgements by Tax Agent: All official lodgements pertaining to this program will be made solely by the designated tax agent. Should any lodgements be made by the mentee without the explicit consent or direction of the tax agent, the agreement will be terminated immediately.

    4. Termination:

      1. Failure to adhere to the instructions of the tax agent or to make the requisite payments on time may lead to immediate termination of the agreement. In such an event, the mentee will not receive any recognition or accreditation for the supervised hours accumulated up to that point.

      2. The mentee can terminate the agreement with 30 days notice. This notice period allows The Accounting Academy Pty Limited or any other associated entity to remove all clients from our systems and to prepare the tax agent experience letter for the mentee to submit with the Tax Practitioners Board.

    5. Refunds: Mentees can request a refund within 14 days from the commencement of the program if they decide to discontinue. No refunds will be processed after this timeframe.

  3. Courses for Business Owners and Accountants

    1. General Advice: The advice and content within our courses are of a general nature. Business owners are urged not to rely solely on this general advice when submitting tax returns or statutory documents.

    2. Engaging for Specific Advice: To receive specialised advice tailored to specific business scenarios, clients should engage our services or a registered tax agent.

    3. Refunds: Business owners can claim a refund within 14 days of purchasing a course. No refunds will be accepted beyond this period.

  4. Business Structuring, Company Set up, Trust Set Up, Company Secretary

    1. Services: Accounting and tax related services are provided by The Accounting Academy Services Pty Limited (93 671 788 355) tax agent number 26233096 and ASIC agent number 51435.

    2. Refunds: Business owners can claim a refund within 14 days excluding any government, document and legal fees. No refunds will be accepted beyond this period.

  5. International company setups

    1. Services: Accounting and tax related services are provided by The Accounting Academy Services Pty Limited (93 671 788 355) tax agent number 26233096 and ASIC agent number 51435..

    2. Refunds: Business owners can claim a refund within 14 days excluding any government, document and legal fees. No refunds will be accepted beyond this period.

  6. Nominee Directorship

    1. Fees: All fees will be due and payable on the 15th of each month. The first 3 months fees are payable prior to commencement of the service. 

    2. Termination: Failure to pay the nominee director fees within 7 days of the due date will result in immediate termination of the agreement. Non-lodgement and non-payment of tax obligations will result in immediate termination of the service.

    3. Obligations: All tax lodgments, including but not limited to Single Touch Payroll, Superannuation, Goods and Services Tax, Income Tax, must be lodged and paid on time.

    4. Agreement: Prior to commencement of this service, a separate agreement, deed of indemnity must be signed and director and officer insurance policy or similar must be taken out.

    5. Services: Nominee director services are provided by The Accounting Academy Services Pty Limited (93 671 788 355) tax agent number 26233096 and ASIC agent number 51435.

    6. Director Identification: A director ID must be obtained for all directors of the company, both domestic and international.

    7. Refunds: Business owners can claim a refund within 14 days of commencement excluding any government, document and legal fees. No refunds will be accepted beyond this period.
